These Terms of Use (“Terms”) govern your access to and use of the Hospice Apps website at hospiceapps.com (the “Site”), operated by MortonApps, LLC (“MortonApps,” “we,” “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About the Site

The Site is an informational marketing website for Hospice Apps, MortonApps’ family of purpose-built software tools for hospice agencies. The family’s first product is Volunteer Tracker. The Site exists to describe the product family and to let you get in touch with us.

The Site does not provide the products themselves. Each Hospice Apps product is operated on its own domain and is governed by its own terms of service and any separate written agreements entered into between MortonApps and a customer. Nothing on the Site constitutes an offer, a contract, or a binding commitment, and the information on the Site is provided for general informational purposes only. The Site is not designed to receive protected health information (PHI), and you agree not to submit any patient information through it.

2. Eligibility

The Site is intended for use by businesses and their personnel. You must be at least 18 years old and capable of entering into a binding agreement to use the Site. The Site is not directed to children under 16.

3. Acceptable Use

You agree not to use the Site to:

• Violate any law, regulation, or third-party right
• Submit false, misleading, or unsolicited content through the contact form, including spam or phishing
• Submit protected health information or any other patient data
• Infringe intellectual property or privacy rights
• Upload, transmit, or introduce malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Interfere with or disrupt the integrity, performance, or security of the Site
• Probe, scan, or test the vulnerability of the Site except under a written agreement to do so
• Scrape, harvest, or collect information from the Site by automated means in a way that burdens our infrastructure or violates these Terms

4. Intellectual Property

The Site and its contents — including all text, graphics, logos, designs, page layouts, and the underlying code (“Site Content”) — are owned by MortonApps or its licensors and are protected by copyright, trademark, and other intellectual-property laws. “MortonApps,” “Hospice Apps,” and “Volunteer Tracker” are marks of MortonApps, LLC.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and business-evaluation purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Site, or remove any proprietary notices, except as expressly permitted by these Terms or applicable law.

5. Submissions and Feedback

If you submit a message through our contact form or otherwise send us suggestions, comments, or feedback about Hospice Apps or its products, you grant MortonApps a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you. The handling of any personal information you submit is described in our Privacy Policy.

6. Third-Party Links

The Site contains links to other websites, including our product site at volunteers.hospiceapps.com and our other company sites at mortonapps.com, mortoncommand.com, and mortongrowth.com. We provide these links for convenience. Sites we do not operate are governed by their own terms and privacy practices, and we are not responsible for their content or availability.

7. Privacy

Our collection, use, and protection of personal information submitted through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON IT IS COMPLETE OR CURRENT.

INFORMATION ABOUT OUR PRODUCTS ON THE SITE IS GENERAL AND MAY CHANGE WITHOUT NOTICE. THE BINDING TERMS FOR ANY PRODUCT OR SERVICE ARE THOSE PUBLISHED ON THE RELEVANT PRODUCT SITE OR SET OUT IN A SEPARATE SIGNED AGREEMENT. NOTHING ON THE SITE IS LEGAL, COMPLIANCE, OR REGULATORY ADVICE, INCLUDING WITH RESPECT TO HIPAA OR MEDICARE REQUIREMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORTONAPPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN WHICH CASE THE LIMITATIONS ABOVE APPLY ONLY TO THE EXTENT PERMITTED.

10. Indemnification

You agree to indemnify, defend, and hold harmless MortonApps and its personnel from and against any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

11. Changes to the Site and These Terms

We may add, modify, suspend, or remove any part of the Site at any time without notice. We may also update these Terms from time to time; the “Last updated” date above will reflect the most recent revision. Your continued use of the Site after an update constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction of the state and federal courts located in San Joaquin County, California for any dispute arising out of or relating to the Site or these Terms. Either party may seek equitable relief in court at any time to protect its intellectual property.

13. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and MortonApps regarding the Site and supersede prior agreements on that subject. They do not govern our products, which are subject to their own terms and separate agreements.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified only to the extent necessary to make it enforceable.
• No waiver. Our failure to enforce any provision is not a waiver of the right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
